Decisions Made at the Meeting of Shareholders of ABLV Bank, AS in Liquidation

On 7 April 2020, at a regular shareholders’ meeting, the shareholders of ABLV Bank, AS in liquidation (the Company) approved the consolidated and separate financial report of the Company for the year 2019, as well as took decisions about changes in the Liquidation Committee.

The shareholders decided to dismiss Doctor of Law and sworn attorney Ringolds Balodis from the position of a liquidator as of 8 April 2020. Ringolds Balodis was appointed to the position of a liquidator in the Company on 5 February 2019. The Shareholders and the Liquidation Committee are thankful to Ringolds Balodis for the work done, highly appreciating his contribution to carrying out the process of voluntary liquidation

Sworn attorneys Lauma Bērziņa and Vineta Čukste-Jurjeva, assistant attorney Armands Smans, as well as expert in financial transactions and company restructuring Andris Kovaļčuks continue their work as liquidators. The Liquidation Committee shall continue working on the execution of the controlled liquidation process approved by the FCMC, carrying it out in a transparent and professional way and lawfully handling not only management of the Company’s assets, but also ensuring review of creditors, which is carried out by the independent international consultant EY.

The shareholders’ meeting also approved the amendments to the Articles of Association of the Company, stipulating that in the course of distribution of the remaining property of the Company, the disbursements to the shareholders may be done both as cash and property. Also the amendments to the Articles of Association provide that hereinafter the members of the Audit Committee shall be appointed for 1 (one) year.

Also the shareholders voted about the members of the Audit Committee and appointed the same members of it anew: Oļegs Fiļs, Mārtiņš Valters and Olga Ibišova. The term of powers of the Audit Committee shall constitute 1 (one) year and it starts on 1 April 2020. Mārtiņš Valters and Olga Ibišova are independent members of the Audit Committee, as provided by Paragraph Three of Section 556 of the Law on Financial Instruments Market.
